A registered office address is the official location of a company. It is where government bodies send important correspondence. Companies House and HMRC use this address for all formal communication.
This communication can include:
- Statutory notices and filing reminders
- Tax correspondence from HMRC
- Legal documents (including court notices)
- Confirmation Statements and compliance updates
Every limited company must have a registered office address before it can register. Without it, the company cannot legally exist or operate. Additionally, this address appears on the public Companies House register, which means anyone can view it.
Legal Requirements for a Registered Office Address
To remain compliant, your registered office address must meet specific rules. These rules became even clearer from March 2024.
1. Must Be in the Correct Country
Your address must be in the same UK jurisdiction as your company. If you register your company in England, your address must also be in England. You cannot move your registered office address to a different jurisdiction later.
2. Must Be a Physical Address
The address must be a real physical location. You cannot use a PO Box or a website address. Since March 2024, the rules clearly confirm that a PO Box is not acceptable. The address must also allow physical delivery of documents.
3. Must Be an “Appropriate Address”
Your address must be capable of receiving and acknowledging post. This means:
- Someone must receive the mail
- Someone must acknowledge delivery
- Delivery must allow confirmation
If your address cannot meet these conditions, it will not be valid.
4. Public Visibility
Your registered office address appears on the public register. As a result, anyone can search and view it online. Because of this, many business owners choose not to use their home address. Instead, they use a professional address to protect their privacy.
New Rules from March 2024
New regulations now require all companies to have an “appropriate address”. These changes aim to improve transparency and reduce misuse of company structures.
This means:
- The address must accept documents in person or by post
- Someone must confirm receipt of deliveries
- The address must be genuine and accessible
If you fail to meet these rules, Companies House may take action. For instance:
- They may assign your company a default address
- You may have 28 days to provide a compliant address
- Your company may be struck off the register
Therefore, you should always review your address regularly and ensure it meets current requirements.
Do You Need a Registered Email Address?
You must also provide a registered email address when setting up your company. Unlike your registered office address, the email address it not public. However, it is still important.
You must check this email regularly. Companies House may use it to send reminders and updates about your company. Ignoring these emails can lead to missed deadlines and penalties.
How to Change Your Registered Office Address
You can change your registered office address at any time, but you must follow the correct process to stay compliant.
Follow these steps:
- Check your Articles of Association for any restrictions
- Get approval from directors and shareholders if required
- Submit Form AD01 to Companies House within 14 days
After approval, Companies House will update the public register. They will also inform HMRC automatically. However, your new address must remain in the same jurisdiction as your company.
Using Your Home Address
You can use your home address as your registered office address. However, you should think carefully before doing so.
You should consider the following:
- Your address becomes publicly visible online
- It may affect your personal privacy
- You could receive unwanted mail or visitors
- Your landlord or mortgage provider may not allow it
Because of this, many business owners choose an alternative address to protect their personal space.
Using a Registered Office Service
A registered office address service can offer several benefits. It is especially useful for start-ups, freelancers and small businesses.
For instance, these services can:
- Keep your home address private
- Ensure compliance with legal requirements
- Handle and forward important mail quickly
- Filter out unwanted or junk correspondence
- Provide a more professional business image
As a result, you can focus on running your business while staying organised and compliant. Additionally, these services often support businesses that operate remotely or internationally.
Registered Office vs Trading Address
A registered office address and a trading address serve different purposes. Therefore, they should not be treated the same.
A registered office address is:
- Your legal address
- Used for official correspondence
- Listed on the public register
A trading address is:
- Where your business operates day-to-day
- A shop, office, warehouse or home workspace
- Used for customers and business activity
In most cases, these addresses differ. For instance, you may run your business from home but use a separate registered office address.
